It concerns a legal mechanism that temporarily suspends the effects of the legal entity’s separate patrimony, allowing recourse to the assets of shareholders or managers when the improper use of the corporate structure is established. The study investigates the historical development of the doctrine, its principal theoretical formulations, and its normative regulation within the Brazilian legal system, especially through Article 50 of the Civil Code, which enshrines the so-called major theory, distinguishing it from situations encompassed by the minor theory. Additionally, the research traces the historical trajectory of limited liability companies, their fundamental defining characteristics, and the circumstances that may give rise to shareholder liability, culminating in an analysis of the economic and legal repercussions of extending liability to shareholders lacking corporate control, including minority shareholders and non-operational investors. The dissertation concludes that the doctrine must be applied with caution, proper justification, and in an eminently exceptional manner, requiring the verification of the existence of direct or indirect conduct attributable to shareholders and managers, as well as their concrete participation in the acts characterizing abuse of the legal personality.
